Important. By accessing or using the Reaux Health platform, you agree to these Terms. If you do not agree, please do not use the platform. Reaux Health is a Management Services Organization. We do not provide medical care; licensed providers do.
Section 01

Use of the platform

Reaux Health LLC ("Reaux Health," "we," "us") provides administrative, technological, and operational support to independent licensed medical providers and partner pharmacies. The platform is intended for U.S. residents 18 years of age or older.

You agree to use the platform only for lawful purposes and in accordance with these Terms. You agree not to use the platform in any manner that could damage, disable, overburden, or impair the service.

Section 02

No practice of medicine

Reaux Health does not practice medicine, diagnose conditions, or prescribe medications. All clinical decisions, including eligibility, prescription, dose adjustments, and treatment plans, are made solely by independent licensed providers.

The provider-patient relationship is established between you and the licensed provider, not between you and Reaux Health.

Section 03

Account registration

To use the platform, you must create an account and provide accurate, complete information during registration and intake. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Promptly updating your information when it changes
  • Notifying us of unauthorized use of your account
Section 04

Communications consent

By creating an account, you consent to receive communications from Reaux Health, your provider, and our partner pharmacy via email, SMS/MMS text message, push notification, and through your patient portal. These may include account notifications, clinical messages, shipping updates, and (with separate opt-in) marketing.

SMS/MMS: Message and data rates may apply. Frequency varies. Reply STOP to unsubscribe from non-essential text messages, or HELP for help. Critical clinical and account messages may continue regardless of marketing preferences.

Manage your preferences through your account settings or by emailing support@reauxhealth.com. Some communications are required for the service and cannot be opted out of while you remain an active subscriber.

Section 05

User conduct and prohibited uses

You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable law
  • Provide false, misleading, or incomplete health or personal information
  • Impersonate any person or misrepresent your affiliation
  • Attempt to access another user's account or any non-public area of the platform
  • Use automated means (scrapers, bots) to access the platform without our written permission
  • Resell, transfer, or redistribute medications obtained through the platform
  • Harass, threaten, or harm any other person, including providers and our staff
  • Interfere with or disrupt the platform or its connected networks

Violation may result in immediate account termination and potential civil or criminal liability.

Section 06

Payment and billing

Plans are billed monthly in advance. By subscribing, you authorize the recurring subscription fees corresponding to your plan tier to be charged to your payment method.

Your monthly plan tier is determined by your prescribed dose. If your provider titrates you to a different dose tier, your plan price may change accordingly. We will notify you in advance of any tier change.

You may cancel your subscription at any time; cancellations take effect at the end of your current billing cycle. We do not pro-rate or refund partial billing periods except as described in our Shipping & Returns policy.

Auto-renewal

Your subscription continues monthly until you cancel. Your payment method on file will be charged at the start of each billing cycle without further notice until you cancel through your patient portal, by emailing support@reauxhealth.com, or by following any other cancellation instructions provided to you.

Notices of any pending price change will be sent at least thirty (30) days before the change takes effect; continued use after that date constitutes acceptance of the new pricing. You may cancel auto-renewal at any time without penalty. Cancellation takes effect at the end of the then-current billing cycle and you will not be billed again. This disclosure is provided in compliance with the federal Restore Online Shoppers' Confidence Act and the Illinois Automatic Contract Renewal Act.

Section 07

Treatment eligibility

Treatment is conditional upon evaluation and approval by a licensed provider. Not all patients qualify. Reaux Health makes no guarantee that you will be approved for treatment, that your prescription will be filled, or that any specific outcome will be achieved.

If your provider determines that GLP-1 treatment is not clinically appropriate for you, you will receive a full refund of your initial subscription payment.

Section 08

Compounded medications

Compounded medications dispensed through the platform are not FDA-approved. They are prepared by state-licensed compounding pharmacies in accordance with applicable pharmacy regulations. Compounded medication may be prescribed only when a licensed U.S. medical provider determines it is clinically appropriate for the individual patient.

You acknowledge that compounded medications:

  • Have not been evaluated by the FDA for safety or efficacy
  • Are prescribed and dispensed under the supervision of a licensed provider and pharmacist
  • Use active ingredients sourced by the dispensing pharmacy in accordance with applicable federal and state pharmacy laws, including applicable requirements for certificates of analysis and FDA-registered establishments

Reaux Health does not prescribe DEA-controlled substances through the platform.

Section 09

Brand acknowledgments

All third-party product names, brand names, and trademarks are the property of their respective owners. Reaux Health is not affiliated with, sponsored by, or endorsed by any brand-name drug manufacturer.

Section 10

Intellectual property

All content on the platform, including text, graphics, logos, images, illustrations, software, and the design and arrangement thereof, is the property of Reaux Health, our medical group affiliates, or our licensors, and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access the platform for your personal, non-commercial use, subject to these Terms. No other rights are granted.

If you submit any content to us (reviews, photos, messages), you grant us a worldwide, royalty-free license to use that content in connection with operating and promoting the platform, subject to our Privacy Policy.

Copyright complaints (DMCA)

Reaux Health complies with the Digital Millennium Copyright Act. If you believe content on the platform infringes your copyright, send a written notice to legal@reauxhealth.com with the subject line “DMCA Takedown Notice,” including: a signature of the copyright owner or authorized agent; identification of the work claimed to be infringed; identification of the allegedly infringing material; your contact information; a good-faith statement that the use is not authorized; and a statement under penalty of perjury that the information is accurate and you are authorized to act on the owner's behalf. Counter-notices may be submitted to the same address. Accounts of repeat infringers will be terminated.

Section 11

Disclaimer of warranties

The platform is provided on an “as-is” and “as-available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Individual results vary and are not guaranteed. Health, weight, and treatment outcomes depend on numerous factors outside Reaux Health's control.

Third-party services and links

The platform may contain links to, or interoperate with, third-party services, including but not limited to the patient portal (Healthie), partner pharmacies, payment processors, and shipping carriers. Reaux Health does not control these third-party services and is not responsible for their content, privacy practices, terms, availability, or accuracy. Your use of any third-party service is governed by that service's own terms and privacy policy.

Section 12

Limitation of liability

To the maximum extent permitted by law, Reaux Health, its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your use of the platform.

Our total cumulative liability for any claim arising under these Terms shall not exceed the amount you paid Reaux Health in the twelve months preceding the claim.

Section 13

Indemnification

You agree to indemnify and hold harmless Reaux Health, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the platform, your violation of these Terms, or your violation of any rights of another party.

Section 14

Termination

You may terminate your account at any time by cancelling your subscription through your patient portal or by emailing support@reauxhealth.com.

We may suspend or terminate your account, with or without notice, if we determine that you have violated these Terms, provided false or misleading information, or engaged in fraudulent or abusive conduct.

Upon termination, your right to access the platform will cease immediately. Sections of these Terms that by their nature should survive termination, including intellectual property, disclaimers, indemnification, limitation of liability, and dispute resolution, will survive.

Section 15

Force majeure

Reaux Health is not liable for any failure or delay in performing our obligations under these Terms when caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, government action, labor disputes, supply chain disruption, internet or utility outages, or pharmacy regulatory action.

Section 16

Dispute resolution; arbitration; class action waiver

Informal resolution

Before filing any formal claim, you agree to first contact us at legal@reauxhealth.com to attempt to resolve the dispute informally. We agree to engage in good-faith negotiations for at least 60 days before either party may initiate formal proceedings.

Binding arbitration

Any dispute arising out of or relating to these Terms or the platform that is not resolved informally shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitrator's decision shall be final and binding.

Class action waiver

Exceptions and opt-out

Either party may bring qualifying claims in small claims court, or seek injunctive relief in court for intellectual property infringement. You may opt out of this arbitration agreement by sending written notice to legal@reauxhealth.com within 30 days of accepting these Terms.

You agree to bring any claim solely on an individual basis and not as part of a class, consolidated, or representative action. The arbitrator may not consolidate claims of multiple parties or preside over any form of class proceeding.

Section 17

Changes to these terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Material changes will be communicated by email or by a prominent notice on the platform.

Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

Section 18

Governing law

These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict-of-law principles. The federal and state courts of Illinois shall have exclusive jurisdiction over any non-arbitrable claim, and you and Reaux Health consent to personal jurisdiction in those courts.

Section 19

Prescription Fulfillment and Partner Pharmacy

Reaux Health is not a pharmacy and does not compound, dispense, or ship prescription medications. Reaux Health provides access to telehealth services through licensed U.S. medical providers who may prescribe medication when clinically appropriate.

If medication is prescribed, prescription fulfillment may be provided by a partner pharmacy. Reaux Health's current partner pharmacy for certain compounded prescription medications is:

Medication fulfillment is handled by the dispensing pharmacy in accordance with applicable pharmacy laws and regulations. Prescriptions are issued only when clinically appropriate by a licensed U.S. medical provider.

If you encounter accessibility barriers on the platform, please contact us at legal@reauxhealth.com with a description of the issue and the URL where you experienced it. We will make reasonable efforts to address reported issues promptly.
